Special Conditions
SubjectFollowing tender n掳 EuropeAid/121694/C/SV/Multi, the subject of this Framework contract is the 00rovision of technical assistance, training and organisation of conferences, seminars and workshops about the Neighbourhood Policy00 with identification number NNI FWC - 00(00he services00.
Structure of the Framework contractThe Consultant will carry out the services on the terms and conditions set out in this contract, which comprises, in order of precedence, these special conditions ("Special Conditions") and the following annexes:
Annex I: General Conditions for service contracts financed by the European Community
Annex II: Global terms of reference
Annex III: Organisation and methodology
Annex IV: CVs of Management Team
Annex V: Global financial offer
Annex VI: Forms and other
relevant documents
In case of any contradiction
between the above documents, their provisions shall be applied according
to the above order of precedence.
The individual assignments will be implemented on the ground of Specific Contracts. The Specific Contracts include the Specific Terms of Reference and the offer.
Contract valueThis Framework contract, established in euro, is a fee-based contract.
This Framework Contract has no contractual amount or maximum budget. The Specific Contracts, established in euro, will be concluded as fee-based contracts, on the basis of the maximum management costs and expert fee rates defined in Annex V. The contractual amount is fixed at the level of each individual assignment.
Commencement date4.1 The date for commencing performance shall be within one month of the signature of this contract by both parties and shall be determined by an administrative order issued by the Project Manager.
4.2 The commencement date of each individual assignment shall be determined by the corresponding Specific Contract.
Period of execution The period of validity of this Framework contract is 24 months from the Commencement date. It may be extended for an additional period of maximum 24 months through the signature of an addendum.The schedule and the time awarded for the implementation of each individual assignment will be specified in each Specific Contract. Reporting
The Consultant shall submit technical reports regarding the Framework Contract as specified in the Global (and when applicable the Specific) Terms of Reference. The Specific Terms of Reference will indicate the reporting obligations concerning the individual assignments.
Payments and bank account7.1 Payments will
be made in euro in accordance with Article 28 of the General Conditions
into the bank account notified by the Consultant to the Contracting
Authority in accordance with Article 20.7 of the General Conditions.
7.2 For each specific
contract signed under this Framework contract, the payments will be
made according to the following schedule, subject to the provisions
of Articles 28 to 33 of the General Conditions:
The actual amount payable as balance, if any, will be the difference between the amount of the pre-financing payment and the final certified value of the specific contract.
Contact addressesAny written communication relating to this Framework contract between the Contracting Authority and the Consultant must state the Contract title and identification number, and must be sent by post, fax, e-mail or by hand to the addresses identified in accordance with Article 20.7 of the General Conditions.
Law and language of the contract9.1 The law of Belgium shall govern all matters not covered by the Framework contract.
9.2 The language of the Framework contract and of all written communications between the Framework contractor and the Contracting Authority and/or the Project Manager shall be English. However, the working and reporting language as well as the communications with the Contracting Authority for each assignment may be also French, as specified within the relevant Terms of Reference of each Specific Contract.
Tax and customs arrangementsThe contract shall be exempt from all duties and taxes, including VAT.
Dispute settlementAny disputes arising out of or relating to this contract which cannot be settled amicably shall be referred to the exclusive jurisdiction of the courts of Brussels, Belgium.
Other specific conditions applying to the contract The General Conditions (Annex I) apply both to this Framework contract and to any Specific contract which derives from this Framework contract. Article 1 of the General Conditions is supplemented by the following definitions:Framework contract: agreement concluded between the parties to establish the essential terms governing a series of specific contracts to conclude within a specific period for similar services.
Specific contract: agreement concluded between the parties according to the established terms in the framework contract and to which are annexed the Specific terms of reference determining the services to be performed by the contractor.
Global terms of reference: the document in annex II and drawn up by the Contracting Authority giving the definition of its requirements and/or the objectives in respect of the provisions of services to define in the Specific contract.
Specific terms of reference: the document annexed to the Specific contract and drawn up by the Contracting Authority giving the definition of the services to be performed by the Contractor, specifying, where relevant, the methods and resources to be used by the Contractor and/or the results to be achieved by it.
The Framework Contractor must take the necessary measures to ensure the visibility of the EU financing or co-financing. Such measures must be in accordance with the applicable rules on the visibility of external action laid down and published by the Commission.These rules are set out in the EU guidelines on visibility available from the EuropeAid website at: http://europa.eu.int/comm/europeaid/visibility/index_en.htm Sub-contracting is authorised only at the level of the Specific Contract for the implementation of the assignment. Signature of the Specific Contract by the relevant Contracting Authority is considered as authorisation to sub-contract in order to hire the proposed experts and/or services.

one original being for the Framework contractor.
